Terms of Service

Welcome to Adbinks.com ("Adbinks", "Network", "Platform", "We", "Us"). These Terms of Service ("Terms") constitute a legally binding agreement between Adbinks and any individual or corporate entity registering as a Publisher (Affiliate) or Advertiser ("User", "Partner", "You").

By registering an account, accessing the Adbinks portal, or routing traffic through our performance network, you explicitly agree to accept and abide by all terms, conditions, policies, and guidelines contained herein.

1. Account Eligibility & Registration

To join and utilize the Adbinks platform, you must meet and guarantee the following requirements:

• You must be at least 18 years of age (or the legal age of legal majority in your legal jurisdiction).
• All registration information provided—including legal name, payment addresses, tax forms, and contact numbers—must be accurate, complete, and updated promptly.
• Adbinks reserves the sole right to accept, reject, or suspend any application or account at its discretion without mandatory explanation.

2. Publisher Obligations & Traffic Compliance

Publishers generate traffic to Advertiser offers subject to strict performance standards. You agree that all traffic sent to Adbinks links is clean, genuine, and compliant with campaign specifications.

Prohibited traffic methods include, but are not limited to:

• Automated & Bot Activity: Use of auto-refreshers, botnets, automated click generators, or web scrapers.
• Deceptive Conversions: Fake lead entries, stolen credit card details, unauthorized proxy or VPN masking to bypass geo-restrictions.
• Incentivized Traffic Violation: Offering cash, points, or virtual rewards for offer completion unless explicitly allowed in the campaign terms.
• Malicious Advertising: Malware injections, unauthorized forced redirects, pop-unders without user consent, or brand bidding against trademarked terms unless pre-authorized in writing.

3. Tracking, Conversions, and Payment Terms

Commissions and revenue shares are calculated strictly according to Adbinks tracking infrastructure logs:

A. Payment Thresholds & Schedules

Payments are issued according to agreed terms (e.g., Weekly, Net-15, Net-30) after reaching the minimum account balance payout threshold. Supported methods include Wire Transfer, PayPal, and Payoneer.

B. Rejections, Chargebacks, and Withholdings

Adbinks reserves the right to withhold payouts, reject conversions, or adjust account balances under the following circumstances:

• Conversions flagged as invalid or fraudulent by our automated anti-fraud system or third-party verification tools.
• Non-payment or clawbacks from Advertisers due to publisher traffic failing agreed-upon Target KPI criteria.
• Any active account audit or pending investigation regarding traffic compliance.

4. Advertiser Obligations

Advertisers placing offers on the Adbinks network agree to the following terms:

• Maintain a valid account funding balance or credit line to cover publisher payout commitments.
• Maintain functional, accurate Server-to-Server (S2S) postback integrations to ensure accurate tracking.
• Ensure landing pages, products, and creatives comply with all regional ad policies, consumer safety standards, and intellectual property rights.

5. Intellectual Property Rights

All software, brand designs, logos, tracking scripts, and platform content associated with Adbinks.com remain the exclusive property of Adbinks. Publishers and Advertisers are granted a non-exclusive, revocable, limited license to utilize promotional materials solely for network campaign execution during the active term of their account.

6. Limitation of Liability & Disclaimer

THE ADBINKS PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED. ADBINKS SHALL NOT BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, OR SPECIAL DAMAGES—INCLUDING LOSS OF PROFITS, REVENUE, OR DATA—RESULTING FROM PLATFORM DOWNTIME, TRACKING INTERRUPTIONS, OR THIRD-PARTY ADVERTISER DEFAULTS.

7. Account Termination

Either party may terminate an account at any time with or without cause by providing written notice. Upon termination, access to the partner dashboard will cease immediately. Adbinks reserves the right to withhold pending funds if account termination is triggered by fraud or material breach of these Terms.

8. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any legal disputes arising from these Terms shall be settled through binding arbitration or within competent court jurisdictions selected by Adbinks.
